These Terms of Service ("Terms") govern your use of mashuplab.app and the Mash Lab service ("Mash Lab", "we", "us"), operated by Masi Services LLC, a New Jersey limited liability company. By using Mash Lab, you agree to these Terms. If you don't agree, don't use the service.

1. The service

Mash Lab is a free, browser-based tool that lets you upload two audio or video files and combine them into a mashup — detecting tempo and key, separating stems, beat-matching, applying effects, and exporting an MP3 or a short video. The service is provided as-is and may change over time.

2. Eligibility

You must be at least 13 years old (or 16 in the EEA/UK) to use Mash Lab. By using it, you confirm you meet this requirement and can form a binding agreement.

5. Intellectual property

The Mash Lab name, logo, site, and software are owned by us or our licensors and are protected by intellectual-property laws. These Terms don't grant you any rights to our branding or software except to use the service as intended.

6. Copyright complaints (DMCA)

Mash Lab is a tool; you are solely responsible for the content you upload, the mashups you make, and how you use them. Uploaded files are deleted automatically within a short window, so we generally don't retain content. We respect intellectual-property rights and respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA).

If you believe content processed through the service infringes a copyright you own or control, send a written notice to our designated agent that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner's behalf.

If you believe your content was removed by mistake or misidentification, you may send a counter-notification to the same agent. We may, in appropriate circumstances, disable or terminate access for users who are repeat infringers.

7. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that results (such as separation or beat-matching quality) will meet your expectations. We may modify, suspend, or discontinue the service at any time without notice.

8. Limitation of liability

To the maximum extent permitted by law, Mash Lab and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of (or inability to use) the service. Because the service is free, our total liability for any claim will not exceed one hundred U.S. dollars (US$100).

9. Indemnification

You agree to indemnify and hold harmless Mash Lab and its operator from any claims, damages, or expenses (including reasonable legal fees) arising out of your content, your use of the service, or your violation of these Terms or any law or third-party rights.

10. Governing law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute that isn't subject to mandatory local consumer-protection law.

11. Changes to these Terms

We may update these Terms from time to time. We'll update the "last updated" date above, and your continued use of the service after changes means you accept them.
